General Sales Conditions
These general sales conditions (the “General Conditions”) regulate ways and sale conditions about BizModel products (the "Products"). Sale agreements of BizModel products sold to third parties (the "Customers") are regulated by these General Conditions that are an integral and essential part of every order and confirmation of order. Sales conditions of your order are that at the time the order has placed. In case of singular sales conditions, these have to be established beforehand and accepted in writing by BizModel (the “Distributor”).

1.
Products: Prices and Features
1.1 Prices of the Products published by BizModel are VAT excluded, except for Italy. Prices of the Products published by BizModel each time, cancel and replace the previous ones and they are subordinated to Products availability. The Distributor reserves the right to confirm or change prices of the Products published in his internet site or in some brochure at the time of Customer confirmation of order.
1.2 Technical and functional features about BizModel Products published by means of our promotional messages and brochure are that ones manufacturers communicate to us. The Distributor does not take any responsibility for the truthfulness and completeness of this information. Bar where it's pointed out, handbooks and Softwares about our Products are in English. Products images are purely as an indication and do not binding.
1.3 The Customer will not charge prices that could unfavourably affect to market the Products. The Customer will advertise and/or promote the Products in a commercially reasonable manner and will transmit Product information and promotional materials to its customers, as reasonably necessary.
1.4 At no charge to the Customer, Biz Model shall provide reasonable support in the sale and use of the Product if requested.
1.5 The Products cannot be given on approval. BizModel sellers can illustrate the Products but the Customer is responsible for ordered Products and for the conformity of the detailed notes shown by every saleman.

2.
Orders and Invoicing
2.1 Purchases on-line can ONLY be paid beforehand. Payment for any order shall be balanced fifteen (15) days maximum from receipt of the applicable invoice by the Customer.
2.2 Every Product order placed to the Distributor has to be complete in all sides and to include the needed features to determine the ordered Products correctly. Once an order is placed to BizModel it represents a Customer's contract and therefore a binding contract for the Distributor. When the order is confirmed, BizModel carries out this one.
2.3
The Distributor reserves the right to refuse unfinished orders not properly filled in or at an amount below Euro 100,00 (shipping charges excluded). If BizModel cannot carry out an order (if the ordered Products aren't available) the Distributor will reserve the right to inform the Customer and to return payments to meet the non-supply. In that case the Customer isn't entitled to compensation. Moreover all prices and purchases available on-line in BizModel.it are valid only for retail or catalogue sales and not for end user purchase.
2.4 For each Products shipment, BizModel shall issue an invoice showing Customer's order number and the Products part number, description, price and any discount.

3.
Shipping and Delivery
3.1 Biz Model shall use its best efforts to ship the Products within five (5) days after receipt of Customer's full payment for the Products.
3.2 Biz Model shall ship the Products only accordingly to the Customer purchase orders received by Biz Model. Product shall be shipped F.O.B. Biz Model's warehouse, with risk of loss or damage to pass to the Customer upon delivery by Biz Model to the carrier designated on Customer's freight routing instructions which may be changed by the Customer from to time.
3.3 All shipping charges will be paid by the Customer. Shipping is usually effected by means of the International Express Mail Service (EMS), the guaranteed worldwide courier service, or of an Express International Courier required by the Customer.
3.4 Terms of shipment pointed out by the Distributor refer to Products that are in our stores. Any delay in delivery below 30 days isn't entitled to refuse delivery or to claim refund and compensation.
3.5 The Distributor can supply the Products (though these are part of a same order) through several deliveries but the Customer will pay transport charges once only.
3.6 Singular delivery conditions and terms have to be established beforehand and accepted in writing by the Distributor.
4.
Special Offers and
Presents
4.1 The probable special offers promoted
by BizModel stand until selling out and are always dependent on
the Products availability. Special offers aren't cumulative. Gift
Products could be in promotional wrapping (boxes, handbooks in line,
etc.).
4.2 If a special offer includes a free
product together with one or more purchased Products, the Customer
has the right to this free product only if it is explicitly requested
in the Customer's order sent to the Distributor and up to selling
out.
5.
Product Warranties
5.1 The Customer may return Products found to be defective for replacement with non defective Products or, in case of non immediate avalavility, for a full credit of the amount of the Products' purchase price invoiced against future purchases. Shipping charges for the replacement of Products will be borne by BizModel.
6.
Other Provisions
6.1 CONSTRUCTION. These General Sales Conditions shall be construed and enforced in accordance with the laws of the European Union.
6.2 NOTICES. All notices, requests, demands and other communications called for or contemplated hereunder shall be in writing and shall be deemed to have been duly given when personally delivered, with verification of receipt, and addressed to the parties by written notice.
6.3 SEVERABILITY. A judicial determination that any provision of these General Sales Conditions is invalid in whole or in part shall not affect the enforceability of those provisions found not to be invalid.
